Terms of Service
0. Introduction
Welcome to IT Unlimited Services, LLC ("ITUS"). By using our services, you agree to comply with and be bound by the following terms and conditions.
1. Service Agreement
Customers are responsible for the payment of their downloaded and installed softwares and subscriptions according to their registered services with ITUS and its affiliates.
2. Liability
ITUS is not liable for any charges that apply to any services for customers' usage and benefits. Customers are solely responsible for such softwares and services regarding either downloading, installing, and agreeing to the licensing terms for software subscriptions provided by ITUS. The services and subscriptions used for your benefit, is to be satisfied in full immediately upon termination.
3. Early Termination
In the event of early or unexpected cancellations, customers are responsible for paying for their installed subscriptions in full to satisfy their term. Typically, the term is set to 12-24 months with automatic renewal, depending on our current requirements. This may include factors related to vendor licensing agreements, vendor changes, and ensuring ITUS’ clients remain in compliance. We appreciate your understanding, as this helps us maintain our high level of quality services. Additionally, all software license agreements are binding to EULA standards and will be applied to devices and customers' usage or installations..
4. Breach Recognition & Continuation Policy
IT Unlimited Services, LLC does not waive breaches of contractual agreements unless formally and clearly stated with agreement by both parties. Depending on the severity and type of breach, we strive to allow contracts to continue as planned to maintain our business relationships. However, IT Unlimited Services, LLC reserves the right to retroactively recognize all occurrences of breaches related to our contractual agreements, whether retroactive, known, or unknown at the time of occurrence, to ensure the integrity of our agreements.
5. Payments
All clients are required to pay outstanding invoices in a timely manner. We understand that, at times, arrangements may need to be made for your payments. We allow a grace period of 14 days following the invoice’s Due Date, as noted under Invoice Details. Payments made after this grace period are subject to late fees and/or may be considered a material breach of contract, with the possibility of continuation of the agreement. In any circumstance, your outstanding balances will need to be settled. On a case to case basis, your Account Manager may offer an extended grace period to help reduce disruptions, avoid any late fees or to limit breaching occurrences.
5a. Payments Continued
Upon the expiration of the term or termination of this agreement, all amounts owing by you to IT Unlimited Services, LLC become immediately due and payable. You shall immediately pay all such amounts to ITUS. Payments made to ITUS’s invoices for services are considered as agreement and understanding of ITUS’ terms of service outlined here.
6. Legal Action
Any legal action incurring fees and financial loss from IT Unlimited Services, LLC will be the responsibility of the opposing party.
7. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the state in which ITUS is headquartered, without regard to its conflict of law principles.
8. Amendments
ITUS reserves the right to amend these terms of service at any time. Any changes will be posted on our website and will become effective immediately upon posting.
